By using our platform, you agree to these terms. Please read them carefully — they govern your relationship with Oniks Capital.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Oniks Capital ("Oniks," "we," "us," or "our"), a platform operated from Amsterdam, the Netherlands, accessible at www.onikscapital.com (the "Platform"). By accessing, browsing, or using the Platform in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must immediately cease all use of the Platform.
1. Definitions
"Founder"
Any individual or entity that registers on the Platform to submit a startup profile, pitch deck, financial information, or other materials for the purpose of seeking investment, advisory, or visibility services.
"Investor"
Any individual or entity that registers on the Platform to browse, evaluate, or express interest in startup opportunities, or to access deal flow, due diligence materials, or advisory content.
"User"
Any Founder, Investor, visitor, subscriber, or other individual or entity that accesses or uses the Platform in any capacity.
"Content"
All text, data, images, pitch decks, financial projections, business plans, logos, trademarks, software, code, and any other materials uploaded, submitted, posted, or otherwise transmitted through the Platform by any User.
"Services"
All services provided by Oniks through the Platform, including but not limited to startup listing and profiling, investor matching and introductions, advisory and vetting services, mentorship facilitation, newsletter distribution, content publishing, and consulting services.
"Transaction"
Any investment, funding commitment, partnership agreement, advisory engagement, or other commercial arrangement facilitated through or originating from connections made on the Platform.
2. Eligibility and Account Registration
2.1Eligibility Requirements
You must be at least eighteen (18) years of age and possess the legal capacity to enter into binding agreements under applicable law. If you are registering on behalf of an entity, you represent and warrant that you have the authority to bind that entity to these Terms.
2.2Account Registration
Certain features of the Platform require registration. You agree to provide accurate, current, and complete information during registration and to maintain and promptly update such information. You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify Oniks immediately of any unauthorized use of your account.
2.3Account Termination by Oniks
Oniks reserves the right, in its sole and absolute discretion, to suspend, deactivate, or permanently terminate any User account at any time, with or without cause, and with or without prior notice. Grounds for termination include, but are not limited to: provision of false, misleading, or incomplete information; violation of these Terms; fraudulent, abusive, or unlawful conduct; or conduct that Oniks determines, in its sole judgment, to be detrimental to the Platform, other Users, or Oniks' reputation or interests.
3. Nature of Services and Platform Role
3.1Platform as Intermediary
Oniks operates solely as an intermediary platform that connects Founders with Investors. Oniks is NOT a broker-dealer, investment adviser, investment fund, crowdfunding portal, securities exchange, or financial institution under any applicable law or regulation. Oniks does not provide investment advice, financial advice, tax advice, or legal advice of any kind.
3.2No Endorsement or Guarantee
The listing or featuring of any startup, founder, investor, or opportunity on the Platform does not constitute an endorsement, recommendation, or guarantee by Oniks of the quality, viability, legality, or merit of any User, startup, business plan, investment opportunity, or Transaction. Oniks does not verify the accuracy or completeness of any information provided by Users unless explicitly stated otherwise as part of a paid vetting service.
3.3No Fiduciary Relationship
Nothing in these Terms or in the provision of Services creates a fiduciary, advisory, agency, partnership, joint venture, employment, or trust relationship between Oniks and any User. Users acknowledge that they must conduct their own independent due diligence before entering into any Transaction.
3.4Advisory and Vetting Services
Oniks may offer advisory, vetting, and consulting services to Founders and/or Investors on a fee-for-service or success-fee basis. The scope, pricing, and terms of such services shall be governed by separate written agreements between Oniks and the applicable User. Any advisory opinions, reports, or assessments provided by Oniks are for informational purposes only and do not constitute professional investment, legal, or financial advice.
4. User Content and Conduct
4.1User Content
You retain ownership of Content you submit to the Platform. By submitting Content, you grant Oniks a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, publish, and create derivative works of such Content solely for the purposes of operating, improving, and promoting the Platform and Services. This license survives termination of your account to the extent necessary to fulfill Platform operations. You represent and warrant that you own or have all necessary rights and permissions to submit such Content and to grant the license above, and that your Content does not violate any applicable law or infringe any third-party rights.
4.2Prohibited Conduct
You agree not to:
- Submit false, misleading, or fraudulent information
- Impersonate any person or entity
- Use the Platform for any unlawful, abusive, harassing, or harmful purpose
- Attempt to gain unauthorized access to any part of the Platform or its systems
- Interfere with or disrupt the Platform's operation, security, or infrastructure
- Scrape, crawl, or use automated means to access the Platform without prior written consent
- Use the Platform to distribute spam, unsolicited communications, or malware
- Violate any applicable law, regulation, or third-party right
- Use the Platform to solicit investments in violation of applicable securities laws
- Circumvent or attempt to circumvent any security, access control, or technical protection measures
5. Intellectual Property
All intellectual property rights in the Platform, including but not limited to the website design, code, software, graphics, logos, trademarks, service marks, trade names, text, images, and all other content owned or licensed by Oniks, are the exclusive property of Oniks or its licensors. No User may copy, reproduce, modify, distribute, display, or create derivative works of any Platform content without the prior written consent of Oniks.
Users may not use the Oniks name, logo, or any associated trademarks without prior written authorization from Oniks.
6. Confidentiality
Users acknowledge that information accessed through the Platform, including but not limited to startup financial data, pitch decks, business plans, investor profiles, investment preferences, and introductions, may be confidential. Users agree not to disclose such information to any third party without the prior written consent of the disclosing party, except as required by law.
7. Fees and Payments
Certain Services may be offered free of charge, while others may require payment. Oniks reserves the right to introduce, modify, or discontinue fee structures at any time with reasonable advance notice. Fees for specific services, including advisory, vetting, consulting, or success-fee arrangements, shall be governed by separate written agreements. All fees are non-refundable unless expressly stated otherwise in the applicable agreement. Oniks reserves the right to engage third-party payment processors, and your use of such services is subject to their respective terms of service.
8. Disclaimers of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ONIKS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT.
ONIKS DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (C) ANY INFORMATION PROVIDED ON OR THROUGH THE PLATFORM IS ACCURATE, COMPLETE, OR CURRENT; (D) ANY DEFECTS WILL BE CORRECTED; OR (E) ANY TRANSACTION BETWEEN USERS WILL BE COMPLETED SUCCESSFULLY.
ONIKS DOES NOT GUARANTEE THAT ANY FOUNDER WILL RECEIVE FUNDING, THAT ANY INVESTOR WILL ACHIEVE RETURNS, OR THAT ANY INTRODUCTION MADE THROUGH THE PLATFORM WILL RESULT IN A TRANSACTION. STARTUP INVESTING INVOLVES SUBSTANTIAL RISK, INCLUDING THE RISK OF TOTAL LOSS OF CAPITAL.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ONIKS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, CONTRACTORS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY TRANSACTION, RELATIONSHIP, OR DISPUTE BETWEEN USERS; (C) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR CONTENT; (D) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE PLATFORM; (E) ANY FAILURE OF OR DELAY IN ANY TRANSACTION; OR (F) ANY OTHER MATTER RELATING TO THE PLATFORM OR SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF ONIKS TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (I) THE TOTAL FEES PAID BY YOU TO ONIKS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (II) ONE HUNDRED EUROS (€100).
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, (B) FRAUD OR FRAUDULENT MISREPRESENTATION, OR (C) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
10. Indemnification
You agree to indemnify, defend, and hold harmless Oniks, its directors, officers, employees, agents, affiliates, contractors, and service providers from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees and legal costs) arising out of or in connection with: (a) your use of the Platform or Services; (b) your Content; (c) your violation of these Terms; (d) your violation of any applicable law, regulation, or third-party right; (e) any Transaction you enter into with another User; (f) any dispute between you and another User; or (g) any misrepresentation made by you. This indemnification obligation shall survive termination of your account and these Terms.
11. Third-Party Links and Services
The Platform may contain links to third-party websites, applications, or services. Oniks has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party sites or services. Your use of third-party services is at your sole risk and subject to those third parties' respective terms and conditions.
12. Modifications to Terms
Oniks reserves the right to modify, amend, or replace these Terms at any time, in its sole discretion. Material changes will be communicated by posting the updated Terms on the Platform with a revised "Last Updated" date, and where practicable, by email notification. Your continued use of the Platform after any modifications constitutes your acceptance of the revised Terms. If you do not agree with the modified Terms, you must discontinue use of the Platform.
13. Termination
You may terminate your account at any time by contacting Oniks at info@onikscapital.com. Oniks may terminate or suspend your access to the Platform at any time, with or without cause, and with or without notice. Upon termination: (a) your license to use the Platform immediately ceases; (b) Oniks may delete or retain your Content and data in accordance with its Privacy Policy and applicable law; (c) any provisions of these Terms that by their nature should survive termination shall continue in full force and effect, including but not limited to Sections 5, 6, 8, 9, 10, 14, 15, and 16.
14. Governing Law and Dispute Resolution
14.1Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict-of-law provisions.
14.2Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be submitted to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved within such period, it shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands. Notwithstanding the foregoing, Oniks retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened violation of its intellectual property rights, confidentiality obligations, or these Terms.
14.3Class Action Waiver
To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
15. Securities and Regulatory Disclaimers
The Platform does not offer, sell, or broker securities. No information on the Platform constitutes an offer to sell, a solicitation to buy, or a recommendation of any security, financial product, or investment strategy. Oniks does not make any recommendation or provide any advice as to the suitability of any investment for any particular User. Users are solely responsible for determining whether any investment, strategy, or Transaction is appropriate based on their own objectives, financial situation, and needs. Users should consult qualified legal, financial, and tax advisors before making any investment decisions.
Nothing on the Platform constitutes a prospectus, offering memorandum, or similar disclosure document. The information provided on the Platform has not been approved or reviewed by any securities regulatory authority in any jurisdiction.
16. Miscellaneous Provisions
16.1Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements entered into between you and Oniks, constitute the entire agreement between the parties with respect to the subject matter hereof, superseding all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
16.2Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions, which shall continue in full force and effect.
16.3Waiver
The failure of Oniks to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Oniks.
16.4Assignment
Oniks may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without the prior written consent of Oniks.
16.5Force Majeure
Oniks shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, war, armed conflict, terrorism, sanctions, pandemics, government actions, power failures, internet disruptions, or cyberattacks.
16.6Notices
All notices to Oniks shall be sent to info@onikscapital.com. Notices to Users will be sent to the email address associated with the User's account or posted on the Platform.
16.7Language
These Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
